Legal: End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("User") and Wealtie ("we", "us", "our") for the use of the Wealtie mobile application ("App") available on iOS and Android.

By downloading, installing, or using the App, you agree to be bound by this Agreement. If you do not agree, do not download or use the App.

This Agreement should be read alongside our Privacy Policy and Terms of Service, which are incorporated by reference.

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install one copy of the App on a mobile device that you own or control
• Use the App solely for your personal, non-commercial financial tracking purposes

This license does not include the right to sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the App or its content.

You agree not to, and you will not permit others to:

• License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the App
• Copy or use the App for any purpose other than as permitted under this Agreement
• Modify, translate, adapt, merge, make derivative works of, disassemble, decompile, reverse compile, or reverse engineer any part of the App
• Access the App in order to build a similar or competitive product or service
• Remove or alter any proprietary notices, labels, or marks on the App
• Use the App in any way that violates applicable laws or regulations
• Use the App to transmit any harmful, offensive, or disruptive content

The App and all content, features, and functionality are and will remain the exclusive property of Wealtie and its licensors. The App is protected by copyright, trademark, and other intellectual property laws.

Your data (financial records, transactions, accounts, and other content you create within the App) remains yours. By using the App, you grant Wealtie a limited license to store and process that data solely for the purpose of operating the App for you.

The App integrates with the following third-party services. Your use of these services within the App is subject to their respective terms and privacy policies:

• Apple App Store / Google Play Store: for app distribution, in-app purchases, and subscription billing
• Subscription management provider: for subscription and in-app purchase management
• Google, Apple: for optional OAuth authentication
• Crash reporting provider: for crash and error reporting
• Analytics provider: for product analytics, only if you allow it
• Push notification provider: for push notification delivery

Wealtie is not responsible for the practices or content of any third-party services. We encourage you to review their terms and privacy policies.

Wealtie may from time to time provide updates to the App. Updates may be required to continue using the App. You agree that we may automatically download and install updates.

We reserve the right to modify, suspend, or discontinue the App or any part of it at any time. We will not be liable to you or any third party for any modification, suspension, or discontinuance.

The App offers a free plan and a paid Pro subscription, available as a monthly, 6-month, or yearly plan. All in-app purchases and subscriptions are processed through Apple App Store or Google Play Store.

• Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current period
• You may manage and cancel subscriptions through your App Store or Google Play account settings
• Refunds are subject to the refund policies of Apple or Google respectively
• Wealtie does not process payments directly and does not have access to your payment information

The App is a personal finance tracking tool only. Nothing in the App constitutes financial, investment, tax, or legal advice. Wealtie is not a licensed financial advisor or financial institution.

All financial data displayed in the App is based solely on the information you manually enter. Wealtie makes no representation that the data is accurate or complete. You should consult a qualified financial professional before making any financial decisions.

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEALTIE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WEALTIE DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WEALTIE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP.

IN NO EVENT SHALL WEALTIE'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR USD $100 IF YOU HAVE NOT MADE ANY PAYMENTS.

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms.

We may also terminate or suspend your access to the App at any time, with or without cause, with or without notice.

Upon termination, you must cease all use of the App and delete all copies from your devices. Sections of this Agreement that by their nature should survive termination will remain in effect, including intellectual property provisions, disclaimers, and limitations of liability.

If you downloaded the App from the Apple App Store, the following terms also apply:

• This Agreement is between you and Wealtie only, not Apple Inc. ("Apple"). Wealtie, not Apple, is solely responsible for the App and its content.
• Your license to use the App is limited to use on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
• Apple has no obligation to provide any maintenance or support services for the App.
• If the App fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price, if any, to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App. Any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty are Wealtie's responsibility.
• Wealtie, not Apple, is responsible for addressing any claims by you or a third party relating to the App or your possession and use of it, including product liability claims, claims that the App fails to conform to any legal or regulatory requirement, and claims arising under consumer protection, privacy, or similar laws.
• If a third party claims that the App or your possession and use of it infringes their intellectual property rights, Wealtie, not Apple, is solely responsible for the investigation, defence, settlement, and discharge of that claim.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
• You must comply with any applicable third-party terms of agreement when using the App.
• Apple and its subsidiaries are third-party beneficiaries of this Agreement. Once you accept it, Apple will have the right to enforce this Agreement against you as a third-party beneficiary.

This Agreement shall be governed by and construed in accordance with applicable law. Users in the EU and UK retain any mandatory consumer protection rights provided by their local laws.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

We reserve the right to modify this Agreement at any time. We will notify you of material changes by updating the Effective Date and, for significant changes, by sending a notice through the App or by email.

Your continued use of the App after any changes constitutes acceptance of the updated Agreement.
